5. REPRESENTATIONS & WARRANTIES

5.1 The Writer hereby represents & warrants that:

i. The Writer is a major and competent to enter into this Agreement.

ii. The Writer is not under any disability, restriction or prohibition which might prevent him from rendering the

Services towards the Film or observing any of the obligations pursuant to this Agreement.

iii. The Writer is aware and understood the terms & conditions and has entered into this Agreement through his

free will, consent and without any coercion from any person or entity whatsoever;

iv. The Writer has not entered into any agreement and/or third-party arrangement which may in any manner

conflict or prevents the Writer from rendering the Services towards the Film;

v. The Writer shall at all times comply with the terms and conditions of this Agreement and render the Services

in accordance to the terms and conditions agreed hereunder.

vi. The Writer has not assigned, licensed, alienated the rights to the Works to any other third party prior to the

execution of this Agreement in any manner including by any verbal and/or written agreement or by any

express or implied conduct assured any third party of such assignment, license or transfer of the rights to the

Works to any party in any manner whatsoever. The Writer hereby agrees and confirms that upon the execution

of this Agreement the Works shall stand transferred to the Producer in perpetuity for the territory of the entire

universe and the Producer shall have the right to deal with it in the manner the Producer may deem fit and

appropriate.

vii. The Writer hereby agrees and acknowledges the sufficiency of the Consideration agreed and/or paid hereunder

including for the assignment of Works in favour of the Producer for the Term and Territory.

viii. The Writer shall not commit any act which may in any manner prejudice the production, completion & release

of the Film. The Writer hereby also agrees that he will not indulge in any activity or participate in any

transaction, which may in any manner is likely to jeopardize, restrict or diminish the marketability, feasibility

and exploitation of the Works and the Film.

ix. The Writer shall not create any lien on the Consideration or any part thereof receivable hereunder and hereby

also agrees to deliver the Works free and clear of any lien, security, interest, or claim by any third party

including, without limitation, any claim by any individual, group, corporation, company, union, guild or

business entity.

x. None of the materials written, developed and/or incorporated in the Works and the Film by the Writer shall be

obscene or libelous or defamatory or derogatory to any religion or belief, contrary to public policy, or capable

of stirring communal discontent/disharmony or infringe the copyright, right of privacy, right of publicity,

moral right, performers’ right, performers’ property right or any other right whatever of any person. If the

Writer retains the same in the Works without obtaining a prior written consent of the Producer then the Writer

shall be held liable for the same and hereby indemnifies the Producer from any claims and/or disputes that may

arise in relation thereof.

xi. The Producer shall not be responsible for any of the Writer’s unfulfilled obligations and/ or liabilities or any of

its associates, agents, affiliates, employees, etc. towards any person of whatsoever nature.

xii. The Producer shall not be responsible for any sort of losses, harm and injury caused to the Writer or any of

his/her associates, agents, affiliates, employees, etc., while rendering their services for the Film under this

Agreement. The Writer shall take due precautions and get themselves adequately insured against all possible

risk including fire, theft and accident at their own cost.

xiii. The Writer shall not use or make any defamatory, derogatory, scandalous, libelous statements or remarks

towards the Film or any person associated with the Film.

xiv. The Writer shall at all times comply and adhere to the applicable laws.

6. INDEMNITY

6.1 The Writer hereby agrees to indemnify and keep the Producer harmless and indemnified against any claims,

disputes, causes of action, obligations, liability, loss, damage, suits, proceeding (civil or criminal in nature),

cost and expenses (including attorneys’ fees which the Producer may incur in defending itself), orders,

judgments that may arise as a result of any breach and/or default by the Writer and/or the Confirming Party of

any terms and conditions under this Agreement.

6.2 The Writer shall also indemnify and keep the Producer indemnified against harmless and indemnified against

any claims, disputes, causes of action, obligations, liability, loss, damage, suits, proceeding (civil or criminal in

nature), cost and expenses (including attorneys’ fees which the Producer may incur in defending itself), orders,

judgments that may arise in relation to the Works.
